Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Asterisks platform, websites, APIs, and related services (collectively, the "Service") operated by Asterisks ("Asterisks", "we", "us"). By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Asterisks provides a visual USSD application builder, simulator, deployment runtime, and aggregator integration layer that allows you to design, host, and operate Unstructured Supplementary Service Data ("USSD") flows through partner aggregators including Hubtel, Nalo Solutions, Arkesel, and Africa's Talking. Specific features may be added, modified, or discontinued at our discretion with reasonable notice for material changes.

2. Eligibility & Account

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for safeguarding your credentials, API keys, and any activity that occurs under your account. You must notify us immediately at security@useasterisks.com of any unauthorised access.

3. Acceptable Use

You agree not to use the Service for, or to facilitate, any of the following: phishing or fraudulent USSD flows; unauthorised gambling, lotteries, or pyramid schemes; unsolicited bulk messaging ("spam"); circumvention of telco regulations or NCA guidelines; harvesting personal data without consent; or any activity that violates applicable law. We reserve the right to investigate suspected violations and to suspend or terminate flows that breach this section. See our Platform Governance page for the full Acceptable Use Policy.

4. Customer Data & Intellectual Property

You retain all rights, title, and interest in the USSD flows, configurations, copy, branding, and end-user data you upload or generate through the Service ("Customer Data"). You grant Asterisks a limited, worldwide, royalty-free licence to host, process, transmit, and display Customer Data solely as necessary to provide the Service. The Asterisks platform itself, including its software, designs, and trademarks, remains our exclusive property. Feedback you submit may be used by us without obligation to you.

5. Billing & Payment

The Service is offered on a pay-as-you-go basis at GHS 0.025 per USSD session, with discounted Growth and Enterprise tiers as described on our Pricing page. Charges are deducted from your prepaid wallet balance in real time as sessions complete. The first 1,000 sessions per account are provided free of charge.

Top-ups are non-refundable except where required by law. Unused balance does not expire.
Taxes (VAT, NHIL, GETFund, COVID Levy where applicable) are calculated at checkout and are your responsibility unless we are statutorily required to collect them.
Disputed charges must be raised within 30 days of the transaction by emailing billing@useasterisks.com.
Failed payments on Growth Plan invoices that remain unpaid for 14 days may result in suspension.

6. Service Levels

Pay-as-you-go usage is provided on a best-efforts basis. Growth Plan customers receive a 99.5% monthly uptime SLA, and Enterprise customers receive a 99.9% SLA with a 4-hour response time for Severity 1 incidents. SLA credits, where applicable, are detailed in the relevant order form.

7. Suspension & Termination

You may close your account at any time from the dashboard or by emailing support@useasterisks.com. We may suspend or terminate your access immediately, without notice, if you (a) materially breach these Terms, (b) operate flows that pose a security or legal risk to us, our partners, or our other customers, or (c) engage in fraudulent activity. Upon termination, you may export your flows as JSON for 30 days, after which we will delete Customer Data in accordance with our Privacy Policy.

8. Warranties & Disclaimers

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". ASTERISKS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT TELCO OR AGGREGATOR PARTNERS WILL DELIVER UNINTERRUPTED SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERISKS' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) GHS 5,000. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

10. Indemnification

You agree to indemnify and hold harmless Asterisks against any third-party claim arising from your Customer Data, your use of the Service, your violation of these Terms, or your violation of any applicable law (including telco, data protection, and consumer protection law).

11. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-laws principles. The parties will attempt to resolve disputes informally for 30 days. Unresolved disputes will be referred to binding arbitration seated in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798). Either party may seek injunctive relief in the High Court of Ghana to protect intellectual property or confidential information.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via email or in-product notification. Continued use of the Service after the effective date constitutes acceptance.
